															Board of Directors Job Descriptions
Roles and Duties: President
Activities:
- Facilitates board meetings.
 - Follows through on decisions made at board meetings to ensure that decisions are implemented.
 - Communicates with Board Directors, members, volunteers and staff for agenda items prior to board meetings.
 - Signs official documents on behalf of the Society.
 - Acts as liaison with the Executive Director and other employees as required.
 - Attends board meetings.
 - Acts as resource and support to those members who have taken on designated jobs. Supervises the other Directors in the execution of their duties.
 
Performance Requirements:
- Familiarity with the work of JAM and non-profit organizations.
 - Ability to assess official documents before signing for the Board.
 - Willingness to become familiar with general accounting practice.
 - Familiarity with/participation in fundraising practices, seeking and securing funding.
 
Accountability:
- The President is responsible to the Board and to the members of the Society.
 - Directors are bound by JAM’s Bylaws and Policies.
 - The President will respect confidentiality, sharing confidential information only with persons directly involved.
 - Directors of the Society hold office from their election or appointment until the next Annual General Meeting.
 - The directors shall meet approximately once every month.
 
The President can expect:
- Staff assistance on request.
 - Access to relevant training, when available.
 
Roles and Duties: Vice-President
Activities:
- Facilitates board meetings in the absence of the President and is responsible for carrying out the duties of the President if the President is unable to act.
 - Follows through on decisions made at board meetings to ensure that decisions are implemented.
 - Communicates with Board Directors, members, volunteers and staff for agenda items prior to board meetings.
 - Signs official documents on behalf of the Society.
 - Acts as liaison with the Executive Director and other employees as required.
 - Attends board meetings.
 - Is a resource and support to those members who have taken on designated jobs.
 
Performance Requirements:
- Familiarity with the work of JAM and non-profit organizations.
 - Ability to assess official documents before signing for the Board.
 - Willingness to become familiar with general accounting practice.
 - Familiarity with / participation in fundraising practices, seeking and securing funding.

- The Vice-President is responsible to the Board and to the members of the Society.

Roles and Duties: Treasurer
Activities:
- Is responsible for doing, or making the necessary arrangements for the receiving and banking monies collected from the members or other sources.
 - Keeps accounting records in respect of the Society’s financial transactions.
 - Prepares (or makes the necessary arrangements for) the Society’s financial statements.
 - Prepares (or makes the necessary arrangements for) the Society’s filings respecting taxes.
 - Reviews draft budgets prepared and presented by the Executive Director for presentation to the Board for approval and ensures that the budget reflects the proposed activities for the Society.
 - Ensures that the Executive Director prepares a complete annual operating budget review twice yearly and that cash flow reports are prepared and presented by the Executive Director (bookkeeper) to be presented 4 times a year at the board meetings.
 - Presents annual financial statements to members at Annual General Meeting.
 - Signs official documents on behalf of the Society.
 - Reviews whatever financial reports are required by funding sources.
 - Reviews grant applications for financial accuracy and impact.
 - Acts as Board Liaison with Executive Director, other employees and bookkeeper, as required.
 - Attends board meetings.
 - Acts as resource and support to those members who have taken on designated jobs.
 
Performance Requirements:
- Familiarity with the work of JAM and non-profit organizations.
 - Ability to assess official documents before signing for the Society.
 - Familiarity with general accounting practice.
 - Acts as a co-signer for JAM cheques and other legal documents, financial and fundraising documents along with the President or Vice- President.
 
Accountability:
- The Treasurer is responsible to the Board and to the members of the Society.
 - Directors are bound by JAM’s Bylaws and Policies.
 - The Treasurer will respect confidentiality, sharing confidential information only with persons directly involved.
 - Directors of the Society hold office from their election/appointment until the next Annual General Meeting.
 - The directors shall meet at approximately once every month.
 
The Treasurer can expect:
- Staff assistance on request.
 - Access to relevant training, when available.
 
Roles and Duties: Secretary
Activities:
The secretary is responsible for doing, or making the necessary arrangements for, the following:
- Issuing notices of Annual General Meetings and Directors’ meetings.
 - Taking minutes of Annual General Meetings and Directors’ meetings.
 - Keeping the records of the Society in accordance with the Act.
 - Conducts the correspondence of the Board.
 - Filing the annual report of the Society and making any other filings with the registrar under the Act.
 - Acts as Liaison with the Executive Director and other employees as required.
 - Attends board meetings.
 - Acts as resource and support to those members who have taken on designated jobs.
 
In the absence of the secretary from a meeting, the Board must appoint another individual to act as secretary at the meeting.
Performance Requirements:
- Familiarity with the work of JAM and non-profit organizations.
 - Ability to present information in an organized fashion.
 
Accountability:
- The Secretary is responsible to the Board and to the members of the Society.
 - Directors are bound by the JAM’s Bylaws and Policies.
 - The Secretary will respect confidentiality, sharing confidential information only with persons directly involved.
 - Directors of the Society hold office from their election or appointment until the next Annual General Meeting.
 - The directors shall meet at approximately once every month.
 
The Secretary can expect:
- Staff assistance on request.
 - Access to relevant training, when available.
 
Roles and Duties: Director at Large
Activities
- Provides strategic guidance for the Board so that its purpose may be accomplished.
 - Acts as resource and support to those members who have taken on designated jobs.
 - Acts as Liaison with Executive Director and other employees as required.
 - Attends Board Meetings.
 - The Director at Large sits on the Executive Committee.
 
Performance Requirements:
- Familiarity with the work of JAM and non-profit societies.
 - Commitment to accomplishing the purposes of the Society.
 
Accountability:
- Each Director is responsible to the Board and to the members of the Society.
 - Directors are bound by JAM’s Bylaws and Policies.
 - The Director(s) will respect confidentiality, sharing confidential information only with persons directly involved.
 - Directors of the Society hold office from their election or appointment until the next Annual General Meeting.
 - The directors shall meet at least once every month.
 
A Director can expect:
- Staff assistance on request.
 - Access to relevant training, when available.
 
Board of Directors Code of Conduct
- Directors shall at all times use their best efforts to provide positive, collective leadership, ideas and direction to JAM in support of its vision, missions and mandate.
 - Directors are expected to attend the majority of (missing 3 per year/max) Board meetings and be prepared for the meetings having read pre-circulated material (agenda) in advance.
 - Directors are expected to respond to any Board-related communications (emails, phone calls and other communication methods) within 48 hours.
 - Directors shall be prepared to commit sufficient time and energy to attend JAM business.
 
- Directors shall actively participate in the Junction Arts & Music Society in ways other than attending Board meetings; for example, each Board member must sit on at least one Committee.
