BOARD OF DIRECTORS JOB DESCRIPTIONS

President

The President provides leadership to the Board of Directors and helps ensure that JAM fulfills its purpose, follows its bylaws and policies, and carries out the priorities established by the Board.

Key Responsibilities

  • Chair and facilitate Board meetings, ensuring that meetings are organized and focused on Board business.

  • Work with the Board and staff to develop meeting agendas and follow up on decisions made by the Board.

  • Support the Board in ensuring that decisions and action items are followed through.

  • Communicate with Directors, members, volunteers, and staff as needed regarding Board business and upcoming meetings.

  • Act as the primary Board liaison with the Executive Director, while recognizing that the Executive Director is accountable to the Board as a whole.

  • Sign official documents on behalf of the Society when authorized to do so.

  • Provide support and guidance to Directors and volunteers carrying out designated responsibilities.

  • Help ensure that the Board operates in accordance with JAM’s bylaws, policies, strategic plan, and legal obligations.

  • Represent JAM at community meetings, events, or other occasions when appropriate.

  • Support fundraising, grant development, and community relationship-building as needed.

What We’re Looking For

The President should:

  • Have an interest in and familiarity with JAM’s work and the local arts and culture community.

  • Be comfortable facilitating meetings and helping groups reach decisions.

  • Be able to review and understand official documents before signing on behalf of the Society.

  • Have, or be willing to develop, a basic understanding of non-profit governance and financial reporting.

  • Be willing to participate in fundraising, grant development, and other activities that support JAM’s sustainability.

  • Be a good communicator, listener, and team player.

  • Be able to commit the time needed to fulfill the role.

Time Commitment

  • Attend approximately one Board meeting per month.

  • Attend the Annual General Meeting.

  • Participate in occasional Board discussions, planning, or committee work between meetings.

  • Attend or represent JAM at events and community activities when appropriate.

Accountability

  • The President is accountable to the Board of Directors and, ultimately, to the members of the Society.

  • The President, like all Directors, is bound by JAM’s bylaws, policies, and applicable legislation.

  • Directors are expected to maintain confidentiality and share confidential information only with those who need it for legitimate JAM business.

  • Directors are elected or appointed until the next Annual General Meeting, in accordance with JAM’s bylaws.

  • The Board works collectively; the President does not make decisions independently on behalf of the Board unless specifically authorized to do so.

As a JAM Board member, the President can expect:

  • Support and assistance from JAM staff and other Board members.

  • Access to relevant training and professional development opportunities when available.

  • An opportunity to help shape the arts and cultural life of our community.


 

Vice-President

The Vice-President supports the President and Board and assumes the President’s duties when the President is unavailable.

Key Responsibilities

  • Chair Board meetings and carry out the President’s duties when required.

  • Follow up on Board decisions and action items.

  • Communicate with Directors, members, volunteers, and staff regarding Board business.

  • Sign official documents when authorized.

  • Act as a liaison with the Executive Director and staff as required.

  • Support Directors and volunteers in their designated roles.

  • Attend monthly Board meetings and the Annual General Meeting.

  • Support fundraising and funding efforts.

What We’re Looking For

  • Familiarity with JAM and non-profit organizations.

  • Ability to review official documents before signing.

  • Willingness to develop a basic understanding of financial matters.

  • Interest in fundraising and securing funding.

  • Good communication, organization, and teamwork skills.

Treasurer

The Treasurer provides financial oversight to the Board and helps ensure JAM’s financial records, reporting, budgets, and funding requirements are accurate and up to date.

Key Responsibilities

  • Oversee the receipt, banking, and recording of Society funds.

  • Review financial statements, budgets, cash-flow reports, and annual financial reporting prepared by staff/bookkeeping support.

  • Ensure required tax and financial filings are completed.

  • Present annual financial statements to members at the AGM.

  • Review grant applications and financial reports for accuracy.

  • Monitor the Society’s financial position and ensure budgets reflect planned activities.

  • Act as Board liaison with the Executive Director and bookkeeper on financial matters.

  • Co-sign cheques and other authorized financial documents with the President or Vice-President.

  • Attend monthly Board meetings and support Directors and volunteers as needed.

What We’re Looking For

  • Basic accounting and financial literacy.

  • Ability to review financial documents and reports.

  • Willingness to support fundraising and funding activities.

  • Attention to detail and good organizational skills.

Secretary

The Secretary supports the Board by maintaining JAM’s official records, meeting documentation, correspondence, and required filings.

Key Responsibilities

  • Issue notices and prepare agendas for Board meetings and the AGM.

  • Record and maintain accurate minutes of Board and Annual General Meetings.

  • Maintain the Society’s official records and correspondence.

  • Complete required annual reports and other regulatory filings.

  • Act as a liaison with the Executive Director and staff as required.

  • Attend monthly Board meetings and support Directors and volunteers as needed.

  • Arrange for another Board member to act as Secretary when unavailable.

What We’re Looking For

  • Familiarity with JAM and non-profit organizations.

  • Strong organization and attention to detail.

  • Ability to communicate and present information clearly.

  • Comfortable maintaining confidential records.

Director at Large

Directors at Large provide strategic guidance, support the Board’s work, and contribute to JAM’s overall goals and activities.

Key Responsibilities

  • Contribute to Board discussions, planning, and strategic decision-making.

  • Support Directors, volunteers, and members carrying out designated responsibilities.

  • Act as a liaison with the Executive Director and staff as required.

  • Attend monthly Board meetings and participate in Board activities.

  • Serve on the Executive Committee and/or other committees as needed.

  • Contribute skills, ideas, and community connections that support JAM’s purpose.

  • Familiarity with JAM and non-profit organizations.

  • Commitment to JAM’s purpose and values.

  • Willingness to contribute time, ideas, skills, and community connections.

  • Good communication and teamwork skills.

Board of Directors Code of Conduct

JAM Directors are expected to:

  • Provide positive, collaborative leadership in support of JAM’s vision, mission, and mandate.

  • Attend the majority of Board meetings and come prepared by reviewing meeting materials in advance.

  • Respond to Board-related communications preferably within 48 hours.

  • Commit the time and energy needed to fulfill their responsibilities as a Director.

  • Actively participate in JAM beyond Board meetings, including serving on at least one committee or taking on other volunteer responsibilities.

  • Work respectfully and collaboratively with fellow Directors, staff, volunteers, and community members.

  • Maintain confidentiality and act in the best interests of JAM.
